Term & Conditions for Business to Customer

TERMS AND CONDITIONS OF SALE

of

Albion Business Computers Ltd (ABCOM)

1 DEFINITIONS

1.1 "Buyer" means the person who buys or agrees to buy the Goods from the Seller;

1.2 "Consumer" shall have the meaning ascribed in section 12 of the Unfair Contract Terms Act 1977;

1.3 "Contract" means the contract between the Seller and the Buyer for the sale and purchase of Goods incorporating these Terms and Conditions;

1.4 "Goods" means the articles that the Buyer agrees to buy from the Seller;

1.5 "Seller" means Albion Business Computers Ltd (ABCOM) of Ashwyn Business Centre, Burgess Hill, West Sussex, RH15 8QY;

1.6 "Terms and Conditions" means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the Seller.

2 CONDITIONS

2.1 Nothing in these Terms and Conditions shall affect the Buyer's statutory rights as a consumer.

2.2 These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer.

2.3 All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions and are subject to acceptance by the Seller. The Seller may choose not to accept an order for any reason

2.4 Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer's acceptance of these Terms and Conditions.

2.5 Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller.

3 THE GOODS

The description and quantity of the Goods to be sold shall be as set out in the quotation provided by the Seller to the Buyer ("the Quotation").
4 PRICE AND PAYMENT

4.1 The Price of the Goods shall be that stipulated in the Seller's current price list at the date of order. The Price is inclusive of VAT, if applicable, but exclusive of delivery charges, if applicable.

4.2 Payment of the Price (including VAT and delivery charges, if applicable) must be made in full before dispatch of the Goods.

5 DELIVERY

5.1 Delivery of the Goods shall be made by the Seller notifying the Buyer that the Goods are available for collection at the Seller's premises or for delivery to such place as agreed between the Seller and the Buyer at the time the order is placed.

5.2 The company will do all that it reasonably can to meet the date given for delivery. In the event of unforeseen circumstances beyond reasonable control of the company, we will contact the customer and agree an alternative date.

5.4 Some Goods may not be in stock at the time the order is placed. In the event that the Seller is unable to deliver the Goods within 30 days of receipt of the order, the Seller will contact the Buyer to advise of the situation and the Buyer shall be entitled to cancel the order and receive a full refund or agree a later delivery date.

5.5 Title and risk in the Goods shall pass to the Buyer upon delivery of the Goods.

6 CANCELLATION AND RETURNS

6.1 The Buyer shall check the goods to ensure they are in satisfactory condition.

6.2 Where a claim of defect or damage is made the Goods shall be returned by the Buyer to the Seller. The Buyer shall be entitled to replacement Goods or a full refund (including delivery costs, if applicable) plus any return postal charges if the Goods are in fact defective.

6.3 Goods to be returned must clearly show the order number obtained from the Seller on the package.

6.4 Where returned Goods are found to be damaged due to the Buyers fault the Buyer will be liable for the cost of remedying such damage, where it is reasonable to do so.


7 GUARANTEES

7.1 In addition to the Buyer's statutory rights, the Seller guarantees all Goods against faulty workmanship and materials for a period of 12 months from the date of delivery.

7.2 These guarantees do not cover fair wear and tear, neglect, abuse or misuse of the Goods, loss or damage due to fire, smoke, lightning, sunlight, weather, rusting, corrosion, infestation by animals or boring insects, theft or explosion, or accidental damage or consequential loss.

7.3 Guarantees may be transferred to a new owner free of charge by notifying the Seller in writing.


8 LIMITATION OF LIABILITY

8.1 Save in respect of personal injury or death due to the negligence of the Seller, the Seller will not be liable for any consequential losses that were not reasonably foreseeable at the time the contract was made. The Seller will also not be liable for losses that were not caused by any breach on the part of the Seller.

9 DATA PROTECTION COMPLIANCE

At all times the Seller will observe the requirements imposed by the Data Protection Act 1998 and will provide the appropriate security to maintain the confidentiality of the Buyer's personal data.

10 FORCE MAJEURE

Neither the Seller nor the Buyer shall be held liable for any failure to perform any obligation to the other due to causes beyond their respective reasonable control.

11 SEVERANCE

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid illegal or unenforceable provision eliminated.

12 GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
